February 9, 2006 The company DIAS AQUA CULTURE S.A.announces that on 3 February 2006 signed a preliminary agreement for the acquisition of 30% of the share capital of the company NEPTUNUS MARINE CULTURES S.A. from its shareholders, Stavropoulou Monica, Kokalis Konstantinos and Chrysi Andriopoulou. As from 5.1.2006, DIAS AQUA CULTURE S.A. participates in the share capital of NEPTUNUS MARINE CULTURES S.A. by 70%. The final transfer of shares is subject to the possible merger by absorption of NEPTUNUS MARINE CULTURES S.A. from DIAS AQUA CULTURE S.A., a decision that will be taken by the Board of Directors of the companies up to 31-10-2007, the expected date for the signing of the final transfer contract. Also, the aforesaid shareholders will receive shares of DIAS AQUA CULTURE S.A. according to the shares' exchange ratio that will be determined. DIAS AQUA CULTURE S.A. will inform the investing public on the development and finalisation of the above agreement.
