February 22, 2008 ELGEKA S.A. would like to notify the investing public, that on the 21st of February, a contract was signed regarding the transfer of 2,61% of ELGEKA - FERFELIS ROMANIA SRL from ELGEKA (CYPRUS) LTD (100% owned subsidiary of ELGEKA S.A.) to the company ILIAN SERVICES LTD. The total consideration is determined at euro 87.000 and the shareholders structure of ELGEKA - FERFELIS ROMANIA SRL, after the completion of the legal procedures and the relevant share transfer, will be as follows: - ELGEKA (CYPRUS ) LTD 50,02% - ILIAN SERVICES LTD 49,98% It should be pointed out that on the same day, pursuant the decision of the Extraordinary General Meeting, a new Article of Association of ELGEKA - FERFELIS ROMANIA SRL was signed, changing the company' s legal form from S.R.L. (L.T.D.) to S.A. After the approval of the Romanian Authorities the new corporate name will be ELGEKA - FERFELIS ROMANIA S.A.
