Signing of an agreement

January 5, 2006 DIONIK S.A. announces that on 29.12.2005 signed a notarial preliminary agreement with the Joint Stock Company AEOLIAN GROWTH S.A. in order to establish jointly a societe anonyme with the trade name AEOLIAN GROWTH DIONIC ENERGY S.A. The share capital of the new company will be EUR 60,000 and the holding of DIONIC S.A. will amount to 46% with a possibility of purchasing an additional 5%. The purpose of the new company will be its activation in the construction of aeolian parks in the Greek territory.
