Acquisition of Share Capital

July 14, 2006 Chipita International SA announces that its subsidiary in Egypt, EDITA SAE, has acquired 100% of the share capital of DIGMA SAE for Euro 6.178.461 (Egyptian pounds 44.910.000). DIGMA is the sole distributor in Egypt of all Edita's products. Through this acquisition EDITA obtains control of its selling and distribution structure and comes closer to its customers.
