December 1, 2008 C. ROKAS SA, in accordance with the current legislation releases the Justified Opinion of its' Board of Directors that convened on 25/11/2008, regarding the Discretionary Public Tender Offer of the Company "IBERDROLA RENOVABLES S.A." for the purchase of the total common registered voting shares and the preferred registered nonvoting shares of the company "C. ROKAS S.A.", which has been prepared in accordance with the provisions of article 15 par. 1&2 of L. 3461/2006, and it is submitted to the Hellenic Capital Market Commission and the Bidder in accordance with the provisions of article 15 par. 3 and it is released according to the provisions of article 16 par.1 of L.3461/2006. The Justified Opinion of the Board of Directors of "C.ROKAS S.A.", together with the Advisor's Report regarding the submission of the Discretionary Public Tender Offer of "IBERDROLA RENOVABLES S.A." to the shareholders of C.ROKAS S.A. are available on C.ROKAS S.A. website (http://www.rokasgroup.gr) and the Athens Exchange website (http://www.ase.gr). Copies of the Board of Directors' Report as well as the Justified Opinion of the Board of Directors of C.ROKAS S.A. will be available to the public at C.ROKAS S.A. Headquarters at 3 Rizariou Str., 15233, Halandri, Athens (person responsible Mr. Michailidis Iosif, tel. +30 210-8774100), from 28/11/2008 and for the whole duration of the acceptance period, as set in the Information Bulletin.
