Shares Trading due to Merger

December 14, 2006 As of December 14, 2006, the 1.058.243 new (CR) shares of the Company AUDIO VISUAL ENTERPRISES S.A. start trading on the ATHEX following the recent share capital increase due to the merger with the Company PROOPTIKI S.A.. The new shares will be offered as follows: a) the shareholder of AUDIO VISUAL ENTERPRISES will retain the same number of shares held b) each shareholder of PROOPTIKI will exchange 1 old (CR) share (of par value 0,70 Euro) held with 1 newly issued (CR) share (of par value 0,70 Euro) of AUDIO VISUAL ENTERPRISES. On December 14, 2006, the total number of the Company’s listed shares amounts to 15.873.645 (CR) shares.
