· YALCO – CONSTANTINOU S.A. regarding a company’s share capital increase due to the merger by acquisition of the company VELLIFEST S.A.

· NEORION NEW S.A. – SYROS SHIPYARDS regarding a company’s share capital increase due to the merger by acquisition of the company TIAMA S.A.

In accordance with the approved prospectuses:

· The company YALCO – CONSTANTINOU S.A. proceeds to a company’s share capital increase by issuing 5,480,000 new common bearer shares of a par value of Euro 0.62 each of which: 3,973,517 common bearer shares will be distributed to the shareholders of the acquiring company YALCO – CONSTANTINOU S.A. (1 share held will be exchanged for 0.515263 new shares), 1,506,483 common bearer shares will be distributed to the shareholders of the acquired company VELLIFEST S.A. (1 share held will be exchanged for 0.37662 new shares).

· The company NEORION NEW S.A. – SYROS SHIPYARDS proceeds to a company’s share capital increase by issuing 16,757,994 new common registered shares of a par value of Euro 0.30 each which will be distributed to the shareholders of the acquired company TIAMA S.A. (1 share held will be exchanged for 117.18877 new shares). The shareholders of the acquiring company will retain the number of shares they hold (6,705,880 common registered shares) at a new par value of Euro 0.30.

It is noted that, following the capitalization of surpluses, the current par value of the total number of shares amounts to Euro 0.80.

On its session on August 26, 2002 the Board of Directors of the Athens Stock Exchange also approved:

· The listing of 2,727,840 common registered shares of the company HIGH TECHNOLOGY CONSULTANTS S.A. on the New Market of the Athens Stock Exchange.

· The listing of 10,016,335 new common bearer and 25,866 new preferred shares that resulted from the company’s share capital increase of the company KLONATEX GROUP OF COMPANIES S.A. through a rights issue.

· The listing of 377,290 new common registered shares of the company GREGORY’S MICROGEVMATA S.A. that resulted from the reduction of the par value of the share (split)

· The listing of 25,000,000 new common registered shares of the company P & K PORTFOLIO INVESTMENT S.A. of a par value of Euro 1.38 that resulted from the conversion of an equal number of common bearer shares.

· The listing of 273,665 bonds of the company ETBA BANK of a par value of Euro 100 of annual maturity, interest rate 3.80%, issued in June 2002.

The Board of Directors of the Athens Stock Exchange was notified for:

· The increase of the par value of the share of the company M.L.S. MULTIMEDIA S.A. from Euro 0.2935 to Euro 0.30.

· The increase of the par value of the share of the company HYATT REGENCY HOTELS AND TOURISM (THESSALONIKI) S.A. from Euro 0.2935 to Euro 0.36.

· The increase of the par value of the share of the company PETROLA HELLAS S.A. from Euro 2.3478 to Euro 2.35.

· The reduction of the par value of the share of the company P & K PORTFOLIO INVESTMENT S.A. from Euro 1.9369 to Euro 1.38.
