December 2, 2002 On its session on November 29, 2002, the Board of Directors of the Athens Exchange approved the prospectus of the following listed company:
· ALPHA TRUST – ANDROMEDA INVESTMENT TRUST S.A. regarding a company’s share capital increase due to a merger by acquisition of the company ALPHA TRUST – ORION INTERNATIONAL INVESTMENT TRUST S.A.
In accordance with the approved prospectus:
· The company ALPHA TRUST – ANDROMEDA INVESTMENT TRUST S.A. proceeds to a company’s share capital increase by issuing 14,354,550 new common registered shares of a par value of Euro 3.12 each, which will be distributed to the shareholders (except the shareholder ALPHA TRUST – ANDROMEDA INVESTMENT TRUST S.A. and following the cancellation of own shares, due to confusion, of the shares held by the acquired company) of the acquired company ALPHA TRUST – ORION INTERNATIONAL INVESTMENT TRUST S.A. in terms of 0.713651480 new shares for each 1old share held.
The shareholders of the acquiring company (except the shareholder ALPHA TRUST – ORION INTERNATIONAL INVESTMENT TRUST S.A.) will retain the number of shares they hold (10,781,110 common registered shares) of a new par value of Euro 3.12.
On its session on November 29, 2002, the Board of Directors of the Athens Exchange approved:
· The listing of 41,972 new common registered shares that resulted from the conversion of securities of the company BANK OF CYPRUS LTD.
The Board of Directors of the Athens Exchange also approved the classification of the shares of the company STABILTON S.A. in the category UNDER SUPERVISION, in accordance with the Regulation number 64/2001.
