1. ERGON S.A. regarding a company’s share capital increase and the listing of its shares on the New Market of the Athens Exchange.

In accordance with the approved prospectus:

1. The company ERGON S.A. will distribute 653,500 new common registered shares as follows: 622,750 by public offering and 30,750 through private placement.

On its session on January 28, 2003 the Board of Directors of the Athens Exchange approved the prospectuses of the following listed companies:

· BANK OF ATTICA regarding a company’s share capital increase through a rights issue.

· MICROMEDIA BRITANNIA S.A. regarding a company’s share capital increase due to a merger by acquisition of the companies KLAOUDATOS G. S.A. and ALPHA GRAPH S.A.

In accordance with the approved prospectuses:

· The company BANK OF ATTICA proceeds to a company’s share capital increase by issuing:

Ø 41,597,305 new common registered shares with a preference right in favor or the existing shareholders and issue price of Euro 1.50 in terms of 1 new common registered share for each share held.

Ø 1,000,000 new common registered shares by private placement exclusively to the bank’s employees at issue price of Euro 0.35.

· The company MICROMEDIA BRITANNIA S.A. proceeds to a company’s share capital increase by issuing 22,964,625 new common registered shares of a par value of Euro 0.59, of which:

Ø 21,249,979 new common registered shares will be distributed to the shareholders of the acquired company KLAOUDATOS G. S.A. in terms of 0.99 of a new share for each 1 share held and

Ø 1,714,646 new shares will be distributed to the shareholders of the acquired company ALPHA GRAPH S.A. in terms of 1. 143097 shares for each 1 share held.

Ø The shareholders of the acquiring company MICROMEDIA BRITANNIA S.A. will retain the number of shares they hold, i.e. 18,727,000 common registered shares at a new par value of Euro 0.59.

On its session on January 28, 2003 the Board of Directors of the Athens Exchange also approved:

· The extension of the exemption of major shareholders regarding the lock – up of the shares they hold in the cases of already listed companies as well, in the case that a market making agreement has been signed.

· FASMA SECURITIES S.A. as Market Maker on the Main and Parallel Markets of the Athens Exchange, as well as on the New Market of the Athens Exchange.

· The qualification of PEGASUS SECURITIES S.A. as Type B’ Market Maker on the futures of FTSE/ASE Mid 40 Index.

· The listing of 2,360 bonds of the convertible bond loan of the company ELBISCO HOLDING S.A.

· The listing of 190,537 new common registered shares of the company EFG EUROBANK ERGASIAS S.A. that resulted from a company’s share capital increase due to a stock option plan.

· The listing of 8,748 new common registered shares that resulted from the conversion of securities of the company CYPRUS BANK LTD.

· The listing of 4,181,450 new common registered share of the company FLOUR MILLS C. SARANTOPOULOS that resulted from the conversion of an equal number of the company’s bearer shares.

· The listing of 13,692,227 new common registered shares of the company HELLENIC FABRICS S.A. that resulted from the conversion of an equal number of the company’s bearer shares.

· The Board of Directors of the Athens Exchange also determined the 03.02.2003 as the date of the start of market making on the common shares of the company INFORMER S.A. The brokerage firm PROTON SECURITIES S.A. will act as Market Maker.

The Board of Directors of the Athens Exchange was notified for:

· The increase of the par value of the share of the company MEDICON HELLAS S.A. from Euro 1.5 to Euro 1.51.

· The increase of the par value of the share of the company BITROS HOLDINGS S.A. from Euro 1.5 to Euro 1.51.

· The increase of the par value of the share of the company GALAXIDI FISHFARMING S.A. from Euro 0.30 to Euro 0.33.

· The change of the trade name of the company VARVARESSOS S.A. to VARVARESSOS EUROPEAN TEXTILE S.A.
